Terms of Service

1. Acceptance of Terms

By accessing or using the Dynamvs property management platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to property owners, property managers, residents, and any authorized users.

Dynamvs Inc. (“Dynamvs”, “we”, “us”, or “our”) reserves the right to update and change these Terms at any time without notice. Continued use of the Service after any such changes shall constitute your consent to such changes.

2. Description of Service

Dynamvs provides a comprehensive property management software platform designed to streamline operations for property owners, managers, and residents. The Service includes, but is not limited to:

• Property and unit management tools
• Resident portal and communication features
• Rent collection and payment processing
• Maintenance request management
• Document storage and management
• Financial reporting and analytics
• Resident screening and application processing

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify Dynamvs immediately of any unauthorized use of your account or any other breach of security.

Account Types

The Service offers different account types with varying levels of access and functionality. Your account type determines your available features and any applicable subscription fees.

4. User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, provincial, state, local, or international law or regulation
• Upload or transmit viruses or any other type of malicious code
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use the Service to send spam or unsolicited communications
• Impersonate or attempt to impersonate Dynamvs, a Dynamvs employee, another user, or any other person or entity
• Use the Service for any purpose that is unlawful or prohibited by these Terms

5. Intellectual Property

Dynamvs Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Dynamvs Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and the United States. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

User Content

You retain ownership of any content you submit, post, or display on or through the Service (“User Content”). By submitting User Content, you grant Dynamvs a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content solely for the purpose of providing and improving the Service.

6. Payment Terms

Subscription Fees

Access to certain features of the Service requires payment of subscription fees. By selecting a subscription plan, you agree to pay Dynamvs the monthly or annual subscription fees indicated for that service.

Payment Processing

All payments are processed through third-party payment processors. By providing payment information, you authorize Dynamvs to charge the applicable fees to your designated payment method.

Refunds

Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

Rent Payments

For rent payment processing services, additional terms and fees may apply. Dynamvs acts solely as a payment facilitator and is not responsible for disputes between property managers and residents regarding rent payments.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

8. Third-Party Services

The Service may integrate with or provide access to third-party services, including but not limited to payment processors, background check providers, and communication tools. Your use of these third-party services is subject to their respective terms and conditions. Dynamvs is not responsible for the content, privacy practices, or other practices of third-party services.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so by contacting us at support@dynamvs.com.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. DYNAMVS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Dynamvs makes no warranty that:

• The Service will meet your requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Service will be accurate or reliable
• Any errors in the Service will be corrected

11. Limitation of Liability

IN NO EVENT SHALL DYNAMVS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL DYNAMVS'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO DYNAMVS, IF ANY, DURING THE SIX (6) MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dynamvs and its licensors, employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) resulting from or arising out of:

• Your use and access of the Service
• Your violation of any term of these Terms
• Your violation of any third party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of Ontario, Canada, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
